Terms of Service for Providers

1. Parties & Acceptance

1.1 These Terms and Conditions (the “Agreement”) govern your use of the Ace Services mobile application, website and associated APIs (the “Platform”). They form a binding contract between:

  • Ace Services Global Ltd. (“Ace Services”, "Ace", “we”, “our” or “us”), a company registered in England and Wales (no. 16447687) whose registered office is 1a Electric Parade, Seven Kings Road, Ilford, Essex, United Kingdom, IG3 8BY; and
  • You, the self‑employed individual, partnership or incorporated entity that creates a provider account on the Platform (the “Provider”, “you” or “your”).

1.2 By registering or using the App, you confirm that you accept these Terms and agree to comply with them, alongside our Privacy Policy. If you do not agree, do not use the App.

1.3 These Terms are legally binding and include our Privacy Policy and any additional guidelines provided through the App.

2. Key Definitions

  • Customer: A person or business that posts a service request via the Platform.
  • Request/Job: A job opportunity generated by a Customer and displayed to matching Providers.
  • Quote: A price or estimate submitted by a Provider in response to a Request posted by a Customer. Submitting a Quote is free of charge; Providers are not required to pay to view or respond to Requests.
  • Acceptance Fee: The fee payable by a Provider when a Customer accepts their Quote.
  • Service Contract: The separate agreement between the Provider and Customer for the delivery of services. Ace Services is not a party.
  • User Content: Any text, images, reviews or other materials uploaded by a User (including Providers).

3. Our Role

3.1 Ace Services operates a digital marketplace that introduces Customers and Providers.

3.2 We do not provide services, do not employ Providers, and do not guarantee job outcomes.

3.3 Our facilitation ends when we transmit a Customer’s acceptance of your Quote; thereafter, all obligations lie with you and the Customer.

Important: Ace Services acts solely as a facilitator by introducing Customers to independent Providers. Any services you offer or perform for a Customer are governed by a separate legal agreement between you and the Customer (the “Service Contract”), to which Ace Services is not a party and holds no responsibility. If any issues arise in connection with your services, the Customer’s legal rights and remedies will lie directly against you, the Provider, under the terms of your Service Contract.

4. Provider Declarations & Commitments

By registering for an account on Ace Services, you confirm that:

4.1 You are at least 18 years old and legally able to form contracts.

4.2 You are self-employed or acting on behalf of a registered business.

4.3 You will use the Platform for business purposes only and follow all applicable laws and regulations.

4.4 You hold the necessary licences, permits, insurance, and qualifications to perform the services you offer.

4.5 You will respect Customer privacy, respond promptly and professionally, and fulfill commitments made.

4.6 All content and information you upload is accurate, current and legally permitted.

You must not:

4.7 Misrepresent your identity or credentials.

4.8 Circumvent fees or obtain Customer details outside the Platform.

4.9 Post false reviews or manipulate rankings.

4.10 Attempt to register again if previously banned.

4.11 Copy or reverse-engineer any part of the Platform.

4.12 Introduce harmful code or violate the integrity of the system.

We may conduct ID, right-to-work, and background checks at any time.

Account Registration & Responsibilities

5.1 To use Ace Services, you must create a Provider profile with accurate and complete information. Your profile details—including your name or business name, and any links you provide to your Website, Google, Facebook, YouTube, TikTok, or Instagram—will be visible to Customers as part of your Quote.

5.2 You must not provide false or misleading details about yourself, your business, or your services. If your information changes, you agree to keep your profile up to date.

5.3 Only one account per business is allowed. Duplicate or misleading accounts may be removed or suspended.

5.4 If you're creating an account on behalf of a company, you confirm that you are authorised to act for that company.

5.5 You may grant access to other authorised employees or agents under your account, but you are fully responsible for their actions.

5.6 If you suspect unauthorised access to your account, you must inform us immediately.

5. How Requests, Quotes & Fees Work

6.1 Free Quoting

  • Submitting Quotes is free. No charge for viewing or responding to Requests.

6.2 Acceptance Fee

  • You will only incur a charge when a Customer accepts your Quote via the Platform (the “Acceptance Fee”). Please refer to our FAQs for the most up-to-date Acceptance Fee structure.
  • The Acceptance Fee will be automatically deducted from your available credits at the point of acceptance. You are responsible for ensuring your account has sufficient credits to cover any applicable fees.
  • Ace Services reserves the right to adjust the Acceptance Fee structure in future, in which case you will be notified in advance in accordance with Section 15 (Changes to Terms).

6.3 Refunds

  • If the Customer is unresponsive or didn't hire you, request a refund via the app. Refund requests must be submitted within 14 days of your quote being accepted.
  • Approved refunds return to the original payment method. No cash alternatives.

7. Quote Ranking

7.1 Quotes are ranked by quality signals: experience, qualifications, and reviews from Ace and other platforms.

7.2 Responsive Providers with strong profiles appear higher to Customers.

7.3 Ranking order does not prevent the Customer from selecting any Provider they choose, regardless of position or order in the list of Quotes.

8. Request Integrity & Detail

8.1 Customers must verify a UK phone number before posting a Request.

8.2 Each Request includes a description and can contain photos/documents.

8.3 Job-specific questions help Providers quote accurately.

8.4 We may remove incomplete, duplicate, or fraudulent Requests.

9. Provider Conduct & Obligations

9.1 Respond politely and deliver services professionally.

9.2 Keep your profile and availability accurate.

9.3 Do not post unlawful or misleading content.

9.4 Do not collect Customer data outside the Platform or manipulate reviews/rankings.

10. Reviews & Feedback

10.1 Customers may leave reviews of Providers after any interaction or service. Reviews reflect the personal opinions of Customers and do not represent the views or endorsements of Ace Services. We may remove reviews that violate our Community Guidelines, including those that are abusive, defamatory, or clearly false.

10.2 Where you have included links to your external public profiles (such as Google, Facebook, YouTube, TikTok, or Instagram), Customers may also choose to leave feedback on those third-party platforms. Ace Services is not responsible for the content, moderation, or impact of any reviews posted on external platforms.

11. Intellectual Property

11.1 We own all rights in the Platform.

11.2 You’re granted a limited license to use the Platform while your account is active.

11.3 You grant Ace Services a royalty-free license to use your User Content for platform operation and marketing.

12. Liability & Indemnity

12.1 You acknowledge that you are solely responsible for the services you provide to Customers under a separate Service Contract. If you fail to meet your obligations, Ace Services may suffer reputational harm.

12.2 You agree to fully indemnify Ace Services against any losses, damages, costs, or expenses we incur as a result of:

  • a breach by you of these Terms;
  • issues arising from your services to Customers; or
  • claims that any content you provide (including uploads to the Platform) infringes third-party rights, including intellectual property.

12.3 You release Ace Services from any claims, disputes, or damages—known or unknown—arising from your dealings with Customers. This does not affect any claims relating to Ace Services' failure to meet its own obligations under these Terms.

12.4 Subject to clause 12.6, Ace Services’ maximum liability to you in any 12-month period is limited to the total Acceptance Fees you paid during that period.

12.5 Ace Services is not liable to you for:

  • lost profits or business;
  • reputational harm or lost opportunities;
  • liability owed by you to third parties (including Customers);
  • data loss or corruption;
  • any indirect, incidental, or consequential losses.

12.6 Nothing in these Terms limits or excludes liability for:

  • death or personal injury caused by negligence;
  • fraud or fraudulent misrepresentation;
  • anything that cannot legally be excluded or limited under applicable law.

13. Data Protection

13.1 Both parties are independent data controllers.

13.2 Use Customer data only for quoting and contract performance.

13.3 Comply with all applicable data laws and rights requests.

14. Suspension & Termination

14.1 Ace Services may suspend or terminate your Provider account with immediate effect by giving notice if:

  • You fail to pay any due fees or Acceptance Charges.
  • You breach your obligations under these Terms, especially around account accuracy, service quality, or user conduct.
  • You receive excessive complaints or poor reviews from Customers.
  • You upload illegal content or use the Platform for unlawful purposes.
  • You repeatedly misuse or violate the Platform’s terms.
  • Your continued presence is, in our sole opinion, harmful to the reputation of Ace Services.
  • You are subject to an official investigation by a relevant authority (e.g. the Information Commissioner’s Office or Trading Standards).

14.2 Either you or Ace Services may terminate this Agreement immediately if the other party:

  • Commits a material breach of these Terms;
  • Enters insolvency, liquidation, administration, or ceases to trade;
  • Faces a serious financial or operational issue that risks their ability to fulfil their obligations.

14.3 If you stop offering services or no longer wish to appear on the Platform, you must inform us immediately so we can remove your Provider profile from Customer view.

14.4 No refunds will be given for any fees or credits if your account is terminated due to a breach of these Terms.

14.5 We will normally give 30 days' notice before terminating your account, except in serious cases like illegal content or repeated misuse. You may dispute a termination decision via our complaints process.

14.6 Termination of your Ace Services account does not affect any active Service Contracts you have with Customers—those remain your full responsibility.

15. Changes to Terms

We may update these Terms from time to time. We’ll indicate changes by updating the “Last Updated” date at the top of the Terms. By continuing to use the Platform after changes are posted, you are deemed to accept the updated Terms. Please check them regularly to stay informed.

16. General Provisions

16.1 This Agreement is between you and Ace Services. No other party has the right to enforce or rely on any part of it.

16.2 We may transfer our rights and obligations under these Terms to another company. You agree in advance to such a transfer, including via novation if needed.

16.3 You may not assign, transfer, or subcontract your rights or obligations under this Agreement without our written consent. Any attempt to do so without consent will be void.

16.4 All formal notices under this Agreement must be in writing. You can contact us at legal@aceservices.app. We'll communicate with you via the email address linked to your account or through in-app messages.

16.5 Nothing in these Terms creates a partnership, joint venture, or employment relationship between you and Ace Services. You are acting as an independent contractor.

16.6 If any part of this Agreement is found to be invalid or unenforceable under applicable law, the rest of the Agreement will remain in full effect.

16.7 If we delay in enforcing any part of this Agreement, we still reserve the right to take action later. A failure to act once does not waive our right to enforce these Terms in the future.

16.8 These Terms (and any related non-contractual obligations) are governed by English law. The courts of England and Wales have exclusive jurisdiction, except where required otherwise by law.

16.9 Ace Services may record calls or video chats for quality assurance or training. You will be informed before any recording begins and can choose to end the call if you prefer not to be recorded.

16.10 We may access your account to provide technical support, ensure compliance, improve the Platform, or meet legal obligations.

16.11 By using the Platform, you consent to receive all communications from us electronically, either by email or through the Platform itself. These communications satisfy any legal requirement that they be in writing.
